Overview

These Terms of Service ("Terms") govern your use of the AXYZ Design & CNC website at multiaxyz.com and any project engagement with AXYZ Design & CNC ("AXYZ", "we", "us"), an independent design practice operated by Augustin Cortez in Southern California.

By submitting a project inquiry, entering into a project agreement, or using this website, you agree to these Terms. If you do not agree, do not use the site or initiate an engagement.

AXYZ is currently an independent design practice — not a registered LLC. All agreements are made directly with Augustin Cortez. These Terms reflect that structure and will be updated when the business is formally incorporated.

Services

AXYZ provides industrial design, CNC machining, prototyping, design for manufacturability (DFM), and related design consultation services. The specific scope, deliverables, timeline, and pricing for each engagement are defined in a written project agreement confirmed between both parties before work begins.

AXYZ reserves the right to decline any project inquiry at its sole discretion, for any reason.


Project Intake & Scope

Work begins only after a project agreement is confirmed in writing (email is sufficient) and the initial deposit has been received. Verbal commitments do not constitute a binding agreement.

Any changes to the agreed scope, timeline, or deliverables must be discussed and confirmed in writing before implementation. Additions to scope may result in revised pricing and timelines, which will be communicated before work proceeds.


Intellectual Property

Client IP: All designs, CAD files, and deliverables created for a client become the client's property upon receipt of full payment. Until final payment is received, AXYZ retains ownership of all work product.

Client-supplied materials: You represent and warrant that any files, drawings, images, or other materials you provide to AXYZ are either owned by you or that you have the necessary rights to share them for the purposes of this engagement. You indemnify AXYZ against any claims arising from your materials.

AXYZ tools and processes: Methods, workflows, templates, and internal tooling developed by AXYZ remain AXYZ's property regardless of their use in a client project.


Portfolio Rights

AXYZ reserves the right to feature completed project work in its portfolio, website, and marketing materials unless the client requests confidentiality in writing before the project begins. We respect NDAs and will honor any reasonable confidentiality request.

If confidentiality is required, please state this clearly when submitting your project brief so it can be incorporated into the project agreement.


Payment Terms

Standard payment structure:

  • 50% deposit due before work begins
  • 50% balance due upon delivery of final files or fabricated parts

All invoices are due upon receipt unless otherwise specified in the project agreement. Late payments (beyond 14 days of invoice date) may result in a pause to active work until the balance is settled.

Accepted payment methods will be communicated at the time of invoicing. Currently accepted: bank transfer (ACH/wire), Venmo, and PayPal. We do not accept cryptocurrency.

All pricing is in USD. Prices quoted are valid for 30 days from the date of the quote.


Delivery & Acceptance

Final deliverables are provided digitally (CAD files, PDFs, exports) via email or a shared drive link, or physically shipped for fabricated parts. Delivery is considered complete when files are sent or the shipment is handed to the carrier.

The client has 7 days from delivery to raise any issues with deliverables. After that period, work is considered accepted. Revision requests after acceptance may be treated as new scope.

AXYZ is not responsible for issues arising from manufacturing performed by third parties using our design files unless AXYZ is also contracted to manage that manufacturing process.


Confidentiality

AXYZ treats all client information, project details, and submitted files as confidential and will not disclose them to third parties except as necessary to complete the project (e.g., material suppliers, shipping carriers). We do not sell or share client information for any commercial purpose.

If your project requires a formal Non-Disclosure Agreement (NDA), request one before submitting any sensitive materials. We are happy to sign reasonable NDAs.


Limitation of Liability

AXYZ's total liability for any claim arising out of or related to an engagement is limited to the amount paid by the client for the specific project giving rise to the claim. AXYZ is not liable for indirect, incidental, consequential, or punitive damages of any kind.

AXYZ makes no warranty that design files will be free of all errors. We will correct material errors at no additional cost within the scope of the original agreement, but cannot guarantee that manufactured parts will meet all end-use performance requirements unless testing and validation are explicitly part of the project scope.


Governing Law

These Terms are governed by the laws of the State of California, without regard to its conflict of law principles. Any disputes will be resolved in the courts of Orange County, California, or through mutual agreement to alternative dispute resolution.


Changes to These Terms

We may update these Terms from time to time. The "Last updated" date at the top of this page will reflect any changes. For active project engagements, the Terms in effect at the time the project agreement was confirmed will apply for the duration of that project.
